PRIZE DRAW PERIOD: The Code Ninjas 2021 Back to School Prize Draw (“Prize Draw”) begins on or around 9:00 AM Eastern Time (“EDT”) on July 27, 2021 and ends at 11:59 PM EDT on September 12, 2021 (“Prize Draw Period”).
ELIGIBILITY: The Prize Draw is open only to legal residents of the United Kingdom (including its territories) who,
at the time of entry, are age 18 years of age or older (or at least the age of majority as legally mandated by the entrant’s jurisdiction of residence if greater than 18). Persons in any of the following categories are NOT eligible to participate or win prizes in the Prize Draw: (a) any person who, at any time on or after the commencement of the Prize Draw Period, was or is a director, officer, member, manager, employee, and/or agent of Code Ninjas LLC (including all subsidiaries and affiliates) (collectively the “Code Ninjas Parties”); (b) individuals engaged in the development, production, sponsorship, or distribution of materials for the promotion or engaged in the administration or execution of this Prize Draw (collectively the “Prize Draw Entities”), and (c) any person living in
the same residence as any of the above.

The Prize Draw is subject to all applicable laws and regulations and is void where prohibited. Winning a prize is contingent upon fulfilling all requirements contained in these Official Rules.
SPONSOR: The sponsor of the Prize Draw is Code Ninjas LLC, 2880 Broadway Bend, Building #2, Pearland, Texas 77584 USA (the “Sponsor”). The Sponsor will administer the Prize Draw.
HOW TO ENTER. NO PURCHASE NECESSARY. ONLINE ENTRY ONLY. NO OTHER METHOD OF ENTRY WILL BE ACCEPTED. ONLY ONE ENTRY PER PERSON.

In order to participate in the Prize Draw, you will need to visit https://www.codeninjas.com/backtoschooluk on any device and look for and complete the Prize Draw entry form (the “Entry Form”). You will be able to submit an Entry Form starting on or around 9:00 AM EDT on July 27, 2021 and ending at 11:59 PM EDT on September 12, 2021 (“Entry Period”). You will need to fully complete the Entry Form during the Entry Period, which may require you to enter your name, date of birth, e-mail, phone number, mailing address, and/or other information required by the Sponsor. By successfully transmitting a completed entry form during the Entry Period as directed, you will be entered in the Prize Draw. We will hold such personal data and all other personal data provided to us in accordance with our Privacy Policy. Your personal data will only be used for the administration of the Prize Draw as well as for marketing and promotional purposes related to “Code Ninjas” products, services, and offerings, and you consent to such use. Your personal data will be retained by us in the United States of America only for the purpose of the Prize Draw and for marketing and promotional purposes related to “Code Ninjas” products, services, and offerings. We do not have the capacity to receive your personal data in the United Kingdom. You may withdraw your consent at any time. You should be aware that the United States of America does not have privacy laws which are equivalent to the laws that apply in the United Kingdom.

Standard data charges apply, so check your internet service provider or mobile telephone carrier plan for your standard data fees.

Limit of one (1) Prize Draw registration per person. A person may only use one (1) e-mail address to participate in the Prize Draw. If it is discovered that you attempted to submit more than one (1) Entry Form, then all of your entries will be void and you will be ineligible to receive any prizes. Entries will be rejected if the Entry Form is not fully completed and also submitted during the Entry Period. Use of any automated system to enter is prohibited and will automatically result in disqualification. Multiple entries by the same person will also result in disqualification. A disqualified entrant will not be eligible for a prize.

If the identity of an online entrant is disputed, the authorized account holder of the e-mail address submitted at the time of entry will be deemed to be the entrant. The individual assigned to the e-mail address for the domain associated with the submitted e-mail address is considered the authorized account holder. The selected entrant’s may be required to provide proof that he/she is the authorized account holder of the e-mail address associated with the selected entry. They may also be required to provide proof of their identity. The sole determinant of time for the purposes of receipt of a valid entry in this Prize Draw will be the Prize Draw server machine(s).
PRIZES: No purchase of any kind necessary to enter or win. You have not yet won. Twenty-one (21) prizes will be awarded. The maximum retail value (“RV”) of all prizes: £235. Odds of winning depend on the total number of eligible entries received. Limit one (1) prize per person or household.

One (1) Grand Prize: One (1) 3-D Printer (Upgraded Creality Ender 3 V2 3D Printer with 200g Test Filament by MKK + Newest Creality Ender PLA 3D Printer Filament by MKK). (Grand Prize RV: £235)

Ten (10) Second Prizes: One (1) Meowbit - Codable Console for Microsoft Makecode Arcade (RV: £35 per prize)

Ten (10) Third Prizes: One (1) Code Ninjas Circuits - build over 500 exciting projects including voice recording IC, FM radio module, analog meter, transformer, relay, and 7-segment LED display. (RV: £65 per prize)

The Sponsor reserves the right to substitute equivalent prizes if those listed above are not available.
WINNER SELECTION. Potential winners will be selected in a random drawing on or about September 13, 2021 from all eligible entries received during the Entry Period. The random drawing will be conducted by representatives of the Sponsor and in accordance with the laws of chance. The Sponsor’s decisions are final & binding in all respects.
NOTIFICATION OF WINNERS & HOW TO CLAIM YOUR PRIZE. The Sponsor will attempt to contact via e-mail, each potential Grand Prize Winner (the “Potential Grand Prize Winner”) and each potential Second Prize and Third Prize Winners (each, a “Potential Runner Up Winner”) between 9:00 AM EDT and 5:00 PM EDT on or about September 14, 2021. The prize will be delivered to the winner’s residential address by mail. If the Sponsor does not receive an affirmative response from the Potential Grand Prize Winner or Potential Runner Up Winner within forty-eight (48) hours of sending its notification via e-mail, then the Sponsor will have the right to disqualify that entrant and that entrant’s entitlement to receive a prize may be forfeited and/or the Sponsor has the right to award that prize to the next runner-up in that category. As a condition of being declared the winner of a prize, the Potential Grand Prize Winner and Potential Runner Up Winner may also be required to execute and return the Sponsor’s’ standard form of release. If the Potential Grand Prize Winner or Potential Runner Up Winner do not fully comply with the foregoing requirements, the next runner-up in that Category will be selected as the Potential Grand Prize Winner or Potential Runner Up Winner and the initial selected Potential Grand Prize Winner or Potential Runner Up Winner will be disqualified and will have no recourse towards the Code Ninjas Parties and/or any of the Prize Draw Entities.

The Code Ninjas Parties and its Prize Draw Entities shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes are not transferable and must be accepted as awarded. No interest will be paid on any prize. Any unclaimed or expired amount of a prize will not be awarded. If a Potential Grand Prize Winner or Potential Runner Up Winner is found to be ineligible, declines to accept a prize, or in the event that a prize confirmation or prize is returned as undeliverable, the prize will be forfeited.
CONDITIONS OF ENTRY AND LIMITATIONS ON LIABILITY: By entering, entrants: (i) acknowledge compliance with these Official Rules including all eligibility requirements; and (ii) agree to be bound by the decisions of the Sponsor, made in its sole discretion, which shall be final and binding in all matters relating to this Prize Draw. Entrants who have not complied with these Official Rules are subject to disqualification. All Prize Draw entries obtained through unauthorized sources that are incomplete, illegible, mutilated, altered, reproduced, forgeries, irregular, and/or fraudulent in any way or otherwise not in compliance with these Official Rules are automatically void, as determined by the Sponsor in its sole discretion.

The Sponsor is not responsible for late, lost, damaged, stolen, misdirected, mutilated, garbled, illegible, and/or incomplete entries. All entries/submissions become the property of the Sponsor and in no case shall be returned to the entrant. The Sponsor assumes no responsibility for computer system, hardware, software or program malfunctions or other errors/failures of any kind, delayed computer transmissions, network connections, or damages to participants’ computers arising out of participation in this Prize Draw.

The Sponsor reserves the right to disqualify any entrant or entitlement to a prize, if, in the sole discretion of the Sponsor, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the
Prize Draw by cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices.

By entering the Prize Draw, entrants agree to the fullest extent permissible by law: (a) to release the Code Ninjas Parties and Prize Draw Entities, and each of their officers, directors, members, managers, shareholders, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Prize Draw or the awarding, receipt, possession, and/or use or misuse of any prize; (b) that under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Prize Draw, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding legal fees and court costs.

Prize Draw Entities are not responsible for any problems that may arise, including but not limited to (a) any errors
of any kind relating to or in connection with the Prize Draw, whether human, mechanical, clerical, electronic, or technical in nature; or (b) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Prize Draw. The Sponsor reserves the right to cancel, terminate or suspend the Prize Draw, at its sole discretion, in the event of any occurrence beyond the reasonable control of the Sponsor that adversely affects the administration, security or other operation of the Prize Draw.
GENERAL: In the event of any conflict with any Prize Draw details contained in these Official Rules and Prize Draw details contained in promotion materials (including but not limited to point of sale, radio, and print advertising, promotional packaging, and other promotion media), the details of the Prize Draw as set forth in these Official Rules shall prevail. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and the Sponsor in connection with the Prize Draw, shall be governed by, and construed in accordance with, the substantive laws of the State of Texas USA (without regard to Texas conflicts of law principles). All entrants irrevocably consent to the jurisdiction and venue of the federal and/or state courts that have jurisdiction over Pearland, Texas. Any and all disputes, claims, and causes of action arising out of or in connection with this Prize Draw, shall be resolved individually, without resort to any form of class action. Any claims, judgments and/or awards shall be limited to actual out-of-pocket costs associated with entering this Prize Draw. Entrant hereby waives any rights or claims to attorney’s fees, indirect, special, punitive, incidental or consequential damages of entrant, whether foreseeable or not and whether based on negligence or otherwise. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, the Sponsor’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever. The names of individuals, groups, companies, products and services mentioned in these Official Rules, and any corresponding likenesses, logos and images, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred.
LEGAL WARNING: ANY ATTEMPT BY AN ENTRANT OR OTHER INDIVIDUAL, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST, INCLUDING BUT NOT LIMITED TO ANY FRAUDULENT CLAIMS, WILL BE SUBJECT TO LEGAL ACTION AND , THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH INDIVIDUAL, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WHERE APPROPRIATE CRIMINAL PROSECUTION. AN ENTRANT ENGAGING IN ANY OF THE FOREGOING ACTIVITIES MAY BE DISQUALIFIED AND WILL FORFEIT ANY PRIZE(S) WON.
PRIVACY: Personal information collected from entrants will be used by the Sponsor for the purpose of administering this Prize Draw and in accordance with the Sponsor’s privacy policy which can be found at https://www.codeninjas.com/privacy. Personal information may be collected, used or disclosed in the United States and the United Kingdom. Personal information that resides in jurisdictions other than the United States will be subject to the general laws of application in those jurisdictions. The Sponsor will not sell, share or otherwise disclose personal information of entrants with third parties or agents, other than to third parties or agents engaged by the Sponsor to fulfill the above purposes or as permitted or required by the applicable laws.

Except where prohibited by law, entry into the Prize Draw and acceptance of a prize constitute permission to publish, transmit, and use each winner’s name, image, and acceptance as well as use of the prize in any medium (including, but not limited to, the Sponsor’s webpage and social media accounts) for advertising and promotional purposes, without any payment or compensation to the entrant or any other person.

PROMOTIONAL E-MAILS. The Entry Form may request your consent for us or any Prize Draw Entity of the promotion of the Prize Draw to contact you regarding exclusive offers, promotions and other announcements. You may opt out from receiving promotional e-mails by following the instructions contained in those e-mails, except that by entering the Prize Draw you have granted us your implied consent to send you electronic communications regarding the Prize Draw and your entry in the Prize Draw. If you choose to opt out of promotional e-mails, we may still send you non-promotional e-mails, such as e-mails about your Prize Draw entry or our ongoing business relations.ANY ATTEMPT BY AN ENTRANT OR OTHER INDIVIDUAL, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST, INCLUDING BUT NOT LIMITED TO ANY FRAUDULENT CLAIMS, WILL BE SUBJECT TO LEGAL ACTION AND , THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH INDIVIDUAL, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WHERE APPROPRIATE CRIMINAL PROSECUTION.
